The following Terms of Use (hereinafter referred to as the “Agreement” or “Terms”) set forth the terms and conditions governing your account and use of the Surge by Thrive platform, provided by Thrive Business Marketing, Inc. Together with our Privacy Policy and Refund Policy, these Terms of Use apply to your access to and use of the Surge by Thrive website, platform, products, and services (collectively, the “Platform”).

1. Description of Services

Surge by Thrive provides subscribers with licensed access to an all-in-one business growth and automation platform designed for small businesses and entrepreneurs. Functionality includes but is not limited to:

  • AI-powered website builder
  • Lead capture and management tools
  • CRM and business automation
  • Email and SMS marketing
  • Social media scheduling
  • Funnel builder and sales tracking
  • Workflow automation
  • Reporting and analytics

The Surge software and its related services are collectively referred to as “Surge.”

2. Acceptance of Terms

By purchasing, registering for, or using Surge, you agree to be bound by these Terms. If you do not agree, do not access or use Surge. This Software-as-a-Service is provided “AS IS”, and Thrive Business Marketing, Inc. makes no guarantees regarding uptime, delivery, storage, or timeliness of communications or features.

3. Modifications to Terms and Services

  • Changes to Terms: Thrive Business Marketing may update, modify, or remove parts of these Terms at any time. Updates are effective immediately upon posting. Continued use of Surge constitutes acceptance of the revised Terms.
  • Changes to Services: We may alter or discontinue features, services, or functionality of Surge at any time without notice.

4. Registration and Account Responsibilities

To access Surge, you may be required to register for a User Account. By doing so, you agree to:

  • Provide accurate, current, and complete registration information.
  • Maintain and promptly update your information.
  • Keep your login credentials confidential and secure.
  • Accept responsibility for all activity conducted under your account.

Only the authorized license holder may access and use Surge. If unauthorized use of your account occurs, you must notify Thrive Business Marketing immediately at help@surgebythrive.com.

Thrive Business Marketing is not liable for unauthorized access resulting from your failure to safeguard your credentials.

5. Billing and Authorization Charges

When you purchase a Surge subscription, an authorization charge may be applied to validate your payment method. This charge is refunded immediately, though it may take 2 – 4 business days to appear on your account.

You are responsible for all subscription fees, usage fees, taxes, and other charges incurred in connection with your account.

6. User Content Guidelines

Surge may include community features, forums, or other interactive areas where users can post content. You are solely responsible for all content you upload, submit, or share (“User Content”). By submitting User Content, you agree not to post content that:

  • Violates the rights of others (including intellectual property, privacy, or publicity rights).
  • Is defamatory, harassing, obscene, hateful, violent, or otherwise unlawful.
  • Contains malware, spam, unauthorized advertising, or harmful code.
  • Misrepresents your identity or affiliation.

By posting content, you grant Thrive Business Marketing a royalty-free, perpetual, worldwide license to use, reproduce, adapt, publish, distribute, and display your User Content in connection with the Platform.

7. User Conduct Guidelines

You agree not to:

  • Interfere with the operation of Surge or its networks.
  • Attempt to gain unauthorized access to Surge accounts or systems.
  • Copy, resell, or exploit Surge for commercial purposes without permission.
  • Engage in unlawful activity or impersonate Surge, Thrive Business Marketing, or another user.

8. Intellectual Property Rights

All text, designs, graphics, software, trademarks, and other content provided on the Surge platform are owned or licensed by Thrive Business Marketing. Such content is protected under copyright, trademark, and other intellectual property laws.

You may not copy, distribute, reproduce, or create derivative works from the Surge platform or its content without prior written consent.

9. Hardship Extension

If you have been a Surge subscriber for at least 6 months and face financial hardship or other significant personal circumstances, you may request a one-time, one-month subscription extension.

  • Requests must be sent to help@surgebythrive.com with supporting documentation.
  • Each request is reviewed individually and approval is at Thrive’s sole discretion.
  • Only one hardship extension may be granted per account.

10. General Provisions

  • Jurisdiction: This Agreement shall be governed by the laws of the State of Oregon, USA, without regard to conflicts of law principles. Any disputes shall be resolved in the state or federal courts located in Oregon.
  • International Use: Surge is operated in the United States. Accessing the Platform from outside the U.S. is at your own risk, and you are responsible for compliance with local laws.
  • Severability: If any part of these Terms is found unenforceable, the remaining provisions remain valid.
  • Entire Agreement: These Terms, along with our Privacy Policy and Refund Policy, represent the full agreement between you and Thrive Business Marketing regarding your use of Surge.

11. Offers and Promotions

Promotions or offers available on the Surge website cannot be combined unless explicitly stated.

12. Updates to Policy

We reserve the right to update these Terms at any time. The date of the latest revision will always appear at the top of this page. Continued use of Surge after updates means you accept the revised Terms.

By purchasing and/or using Surge by Thrive, you acknowledge that you have read, understood, and agree to be bound by these Terms of Use, our Privacy Policy, and our Refund Policy. If you do not agree, please do not purchase or use Surge.
